Affiliate Program Terms

Overview

These Affiliate Program Terms ("Terms") govern your participation in The Meow Picks affiliate program (the "Program"). In these Terms, "we", "us" and "our" refer to Aesthi Technologies Inc., which operates The Meow Picks, and "you" or "affiliate" refers to the person or entity accepting these Terms. The Program lets approved affiliates earn a commission for referring customers to our store.

By applying to, or participating in, the Program, you agree to these Terms and to our Privacy Policy. These Terms are separate from our Terms of Service, which govern shopping on our store. If you do not agree to these Terms, do not join the Program.

1. Eligibility

To join, you must be at least the age of majority in your place of residence and able to enter into a binding contract. You are responsible for the accuracy of the information in your application and for keeping your account details, including your payment and contact information, current and correct. Your account is personal to you; you may not sell, transfer, or share it.

2. Application and Approval

Joining the Program is subject to our review and approval. We may accept or decline any application, and we may approve, pause, or remove an affiliate at any time, in our sole discretion. Approval does not create any guarantee of earnings or of continued participation.

3. Commissions

When your application is approved, you receive a unique affiliate link and, if you choose, a unique discount code to share. Commission is earned as follows:

• Affiliate link: you earn 10% of the eligible order value on qualifying sales made through your link.
• Discount code: when a customer uses your personal discount code, the customer receives 5% off, and you earn 7% of the eligible order value on that order.

Commissions are calculated on the product subtotal after any discounts, and exclude taxes, shipping, duties, gift wrapping, and similar charges. Referrals are tracked on a last-click basis using a 30-day cookie: a link referral is credited to the most recent affiliate link clicked before the customer's purchase, within 30 days of that click. A sale placed with a discount code is credited to the affiliate who owns that code.

Commission rates, the customer discount, the cookie window, and eligible products may change from time to time; changes apply to sales made after the change takes effect.

4. Discount Codes

If we issue you a discount code, it is provided for you to share directly with your own audience as part of your genuine promotion of The Meow Picks. You may not post your code, or cause it to be posted, on coupon, deal, cashback, or discount aggregator websites, browser extensions, or similar services, and you may not present the code in a way that suggests it is a general public offer from us. We may deactivate a code, or reverse commissions earned through it, if it is used in violation of these Terms.

5. Order Validation and Reversals

Commissions are initially recorded as pending. A commission is approved for payment only after the order has been paid in full and the applicable return and cancellation window has passed. We may withhold, adjust, or reverse a commission where an order is cancelled, returned, refunded, charged back, unpaid, duplicated, fraudulent, or placed in violation of these Terms, and where a discount code is used improperly. You will not be paid on your own purchases, and self-referrals do not qualify for commission.

6. Payment

We pay approved commissions by PayPal, so you must keep a valid PayPal account on file. Payments are issued once your approved (non-pending) balance reaches the minimum payout threshold of US $50, typically on a monthly cycle. Balances below the threshold roll forward until they reach it. You are responsible for any fees charged by PayPal and for providing accurate payment details; we are not responsible for payments delayed or lost because of incorrect or out-of-date information you provide. All amounts are in US dollars unless stated otherwise.

7. How You May Promote

You may promote The Meow Picks through your own website, blog, email list, and social media channels, using the affiliate links and creative we make available. Whenever you share an affiliate link or discount code, you must clearly and conspicuously disclose your relationship with us, in line with the U.S. Federal Trade Commission's endorsement guidelines and any equivalent rules that apply to you (for example, a clear statement that you earn a commission, or a label such as "affiliate" or "paid partnership"). You are solely responsible for the content you publish, and it must be truthful, not misleading, and lawful.

8. Prohibited Practices

You agree that you will not:

• Bid on, or use in paid search or shopping ads, "The Meow Picks", "TheMeowPicks", our domain, or any confusingly similar term or misspelling, and you will not direct paid advertising to your affiliate links or to landing pages built to intercept our branded traffic.
• Earn or attempt to earn commission on your own orders, or arrange self-referrals or circular referrals.
• Post your discount code or links to coupon, deal, or cashback aggregator sites, or use cookie stuffing, forced clicks, iframes, pop-unders, or any technique that sets our tracking without a genuine click.
• Send spam or unsolicited messages, or promote us on sites containing unlawful, hateful, sexually explicit, or otherwise objectionable content.
• Make false or misleading claims about our products, prices, or offers, register domains or social accounts using our name or trademarks, or otherwise misrepresent your relationship with us.
• Bid on trademarks, or use content, in a way that infringes the rights of any third party.

We may reverse commissions, deactivate codes, and suspend or terminate your account for any violation of this section.

9. Trademarks and Brand Use

While you are an approved affiliate in good standing, we grant you a limited, non-exclusive, non-transferable, revocable license to use the affiliate links, banners, images, and other creative we provide, solely to promote The Meow Picks under these Terms. You may not alter our logos or creative, imply that you are us or speak on our behalf, or use our brand in any way we ask you to stop. All goodwill from your use of our brand belongs to us, and this license ends when your participation ends.

10. Independent Relationship and Taxes

You participate as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship, and you have no authority to bind us. You are responsible for reporting and paying any taxes on the commissions you earn, and you agree to provide any tax information or forms we reasonably request (for example, a Form W-9 if you are a U.S. taxpayer) as a condition of payment.

11. Term and Termination

These Terms apply for as long as you participate in the Program. Either of us may end your participation at any time, for any reason, with or without notice. On termination, your right to use our links, codes, and creative ends immediately, and you must remove them from your channels within a reasonable time. Approved commissions that are not subject to reversal will be paid once your balance reaches the payout threshold; pending or disputed commissions may be withheld, and unpaid balances below the threshold may be forfeited where permitted by law. We may withhold or cancel commissions associated with any account we terminate for a violation of these Terms.

12. Disclaimer and Limitation of Liability

The Program, and all links, codes, and materials we provide, are offered "as is" and "as available", without warranties of any kind. We do not guarantee any level of traffic, sales, earnings, or the continued operation of the Program. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, punitive, or consequential damages, or for lost profits or revenue, arising from or related to the Program, and our total liability for any claim relating to the Program will not exceed the total commissions paid or payable to you in the three months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Aesthi Technologies Inc. and The Meow Picks, and our affiliates, officers, directors, employees, and agents, from any claims, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your participation in the Program, your promotional content and methods, or your breach of these Terms or of any law or third-party right.

14. Changes to the Program and These Terms

We may change, suspend, or discontinue the Program, and we may update these Terms, at any time by posting the updated Terms on this page. It is your responsibility to review this page from time to time. Your continued participation after a change takes effect means you accept the updated Terms; if you do not agree, your remedy is to leave the Program.

15. Governing Law

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law principles. You and we consent to the personal jurisdiction of the state and federal courts located in Delaware for any dispute arising out of the Program that is not otherwise resolved.
